Project Generator Model Leveraging Mining Claim Transactions to  Keep Dilution Down for Shareholders

Golden Valley is a mineral exploration company whose assets include interests in exploration properties located in Ontario, Québec, and Saskatchewan.Golden Valley Mines Ltd. (GZZ-TXV) is a small market capitalization, junior mining company, described by certain journalists as a “project generator”.  It acquires early-stage mineral properties (normally then owning 100%) and then conducts reconnaissance exploration to assess economic potential, and develop initial grassroots exploration targets.   Golden Valley’s primary objective is to, firstly, conduct initial exploration on various properties, and then seek partners to conduct follow-up exploration programs and continue the exploration effort.  In most of these partnership arrangements, Golden Valley continues to act as operator and, in this way, the dilution to Golden Valley’s share capital is reduced, as are its expenditures.  This also allows Golden Valley to continue exploration on these same properties with larger budgets than its own initial investment. The Company typically tests initial grassroots targets while owning a 100% interest therein and then seeks partners to continue exploration funding. This allows the Company to carry on its generative programs and systematic exploration efforts at their majority-owned grassroots projects. The Company (together with its various subsidiaries) holds property interests in several projects in Canada.

Golden Valley Seeks Joint Venture Partners

Golden Valley Mines  seeks joint venture partners to continue exploration and development at a more significant scale, maintaining an   It acquires early-stage mineral properties (normally then owning 100%) and then conducts reconnaissance exploration to assess economic potential, and develop initial grassroots exploration targets.  A current example would be the Company’s option to Bonterra Resources Inc. on the Lac Barry Prospect, whereby Bonterra may earn an 85% interest by issuing Golden Valley $200,000 of Bonterra shares (issued) and spending $2,000,000 in exploration expenditures over a 3 year period.  If vested, GZZ would retain a 15% Free-Carried Interest to production and a 3% NSR (net smelter return).  Golden Valley Mines (together with its various subsidiaries) holds multiple property interests in gold and base-metal projects in Canada, including over 70 grassroots (early-stage) projects.

The Company’s more significant equity holdings include 49.4% (5.6M shares) of Abitibi Royalties Inc., a public royalties company that holds NSR agreements on portions of the Canadian Malartic gold mine near Val-d’Or, Québec, including a 3% NSR on the Odyssey North discovery, Jeffrey Zone and the eastern portion of the Barnat Extension and a 2% NSR on portions of the Gouldie and Charlie zones.  Golden Valley Mines also owns 4.14M shares of Sirios Resources Corp. and a 2.5%-4% NSR (gold) in the Cheechoo gold project in James Bay, Quebec.
